JACOB JONAS THE COMPANY & ATE9 WAIVER AND RELEASE OF LIABILITY

By registering for and participating in any classes, workshops, rehearsals, or physical activities (collectively, the “Program”) offered by Jacob Jonas The Company (“JJTC”) and Ate9 Dance Company (“Ate9”), I voluntarily agree to the following terms:

1. Assumption of Risk & Release of Liability

I understand that participation in dance, movement, yoga, and other physical activities involves inherent risks of physical injury. I voluntarily assume all such risks, including but not limited to sprains, strains, fractures, or other injuries. I hereby release, waive, discharge, and hold harmless JJTC and Ate9, their employees, board members, contractors, affiliates, and agents from any and all liability, claims, demands, causes of action, or damages arising out of or related to participation in the Program, whether caused by negligence or otherwise.

2. Health, Medical & Safety Acknowledgement

I understand that participation in in-person programming may involve physical contact and carry the risk of exposure to communicable diseases, including but not limited to COVID-19. I voluntarily assume all such risks and agree to follow all safety protocols set forth by JJTC or Ate9. I authorize JJTC and Ate9, their staff, or representatives to obtain emergency medical treatment on my behalf if necessary. I understand that I am solely responsible for any costs incurred as a result of such treatment.

3. Copyright and Intellectual Property

Any copyrightable works, ideas, concepts, phrases, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by me in connection with Program shall be the exclusive property of the organization (JJTC or Ate9) hosting the relevant portion of the Program. I waive any claim to ownership, authorship, or compensation for the use, performance, recording, or reproduction of such Work Product.

4. Media Release

I irrevocably grant JJTC and Ate9, and their respective affiliates, licensees, assigns, and designees, a non-exclusive, worldwide, perpetual, and royalty-free license to film, record, edit, use, reproduce, modify, distribute, display, exhibit, and broadcast my name, image, voice, likeness, and performance (collectively, “Likeness”). I freely contribute my Likeness for inclusion in content to be used, published, and copied in any and all formats and media now known or hereafter developed, including but not limited to websites, social media platforms, live streaming, broadcast, print, promotional materials, and digital distribution channels, as JJTC and Ate9 may determine in their sole discretion, including without limitation for advertising and promotional use (herein described as “content”), without payment, royalties, or other consideration. I understand and agree that all such content will be the sole property of JJTC and/or Ate9.

5. Behavior & Conduct

I agree to conduct myself respectfully and professionally throughout the Program. I understand that JJTC and Ate9 reserve the right to dismiss any participant, without refund, for behavior deemed disruptive, unsafe, or inappropriate at their sole discretion.

6. Confidentiality

I understand that during the Program, I may be exposed to confidential, proprietary, or otherwise non-public information belonging to JJTC and/or Ate9, including but not limited to creative work, choreography, program structure, artistic processes, technical methods, future projects, and internal communications (“Confidential Information”).I agree not to disclose, reproduce, or distribute any such Confidential Information to any third party, or use it for any purpose outside of the Program, without prior written permission from the organization(s). This obligation of confidentiality shall survive the completion of the Program.

7. Non-Disparagement

I agree and covenant that I will not at any time make, publish, or communicate to any person or entity or in any public forum any defamatory or disparaging remarks, comments, or statements concerning JJTC and/or Ate9 or their associated businesses, or any of their employees, officers, directors, representatives, affiliates and existing and prospective customers, suppliers, investors, and other associated third parties in public or private forum. This obligation of confidentiality shall survive the completion of the Program.

8. Refund and Payment Policy

I understand that all deposits are non-refundable. I also acknowledge that full tuition must be paid by the specified deadline in order to secure participation in the Program.

9. Governing Law & Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes, claims, or controversies arising out of or relating to this agreement or participation in the Program shall be resolved exclusively through final and binding arbitration administered by a mutually agreed-upon arbitration service in Los Angeles County, California, in accordance with its applicable rules. The parties waive any right to a jury trial or to participate in a class action related to this agreement. Each party shall bear its own costs and attorney’s fees unless otherwise determined by the arbitrator.

10. Acknowledgement and Consent

By checking the box and submitting the online payment form through CueBox, I confirm that I am at least 18 years of age, that I have read and understood this waiver in full, and that I voluntarily agree to its terms. If I am under 18, I confirm that a parent or legal guardian has reviewed this waiver and submitted the form on my behalf.
